These Terms of Service (“Terms”) govern your access to and use of the Livaro platform, including the mobile application, website, and related services (the “Platform”).

Livaro is operated by Morganext LLC, a company registered in Georgia (“Morganext”, “Livaro”, “we”, “us”, or “our”).

By accessing or using the Platform, you agree to be bound by these Terms.

1. About Livaro

Livaro is a digital platform that allows users to interact in connection with short-term rental opportunities, including property listings, booking requests, communication tools, and related features.

Livaro acts as a technology platform only, unless expressly stated otherwise. Morganext LLC is not the owner, manager, broker, landlord, tenant, or direct party to agreements concluded between users, unless specifically indicated for a particular service.

2. Eligibility

By using the Platform, you represent that you meet these requirements.

• you are at least 18 years old
• you have legal capacity to enter into binding agreements
• your use of the Platform does not violate applicable law

3. User Accounts

We may suspend or terminate accounts that violate these Terms or create risk for the Platform or other users.

• provide accurate and current information
• keep your login credentials confidential
• be responsible for activities under your account
• notify us promptly of unauthorized access or suspected security issues

4. Roles on the Platform

Livaro may support different user roles, including guests and hosts or property managers.

Users are solely responsible for the accuracy, legality, and completeness of information they submit, including:

• profile details
• property descriptions
• availability
• pricing
• house rules
• booking requests
• communications with other users

5. Listings and Property Information

Livaro may remove or restrict listings that violate these Terms or applicable law.

• they have the legal right to list, manage, advertise, or offer the property
• listing content is accurate and not misleading
• pricing and availability information is kept reasonably up to date
• use of the property complies with applicable law, regulations, and third-party rights

6. Booking and User Interactions

Users are responsible for their own decisions and interactions on the Platform.

• that any listing will be booked
• that any booking request will be accepted
• the quality, safety, legality, condition, suitability, or availability of any property
• the conduct, identity, or reliability of any user

7. Payments

If payment functionality is enabled on the Platform, additional payment, billing, cancellation, refund, or processing terms may apply.

Unless explicitly stated, Livaro is not a bank, payment institution, escrow agent, real estate broker, or insurer.

Where third-party payment providers are used, users may also be subject to those providers’ terms and policies.

8. Prohibited Conduct

You agree not to:

• violate any applicable law or regulation
• submit false, misleading, or fraudulent information
• impersonate another person or entity
• use the Platform for spam, abuse, harassment, or unlawful activity
• interfere with the operation or security of the Platform
• scrape, copy, reverse engineer, or exploit the Platform without authorization
• upload harmful code, malware, or content that may damage systems or users
• use the Platform in a way that infringes the rights of others

9. Content

You retain ownership of content you submit, to the extent permitted by law.

By submitting content to Livaro, you grant Morganext LLC a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, adapt, and use such content as reasonably necessary to operate, improve, and promote the Platform.

You represent that you have all rights necessary to submit such content.

10. Intellectual Property

The Livaro Platform, including its design, software, branding, text, graphics, functionality, and related materials, is owned by or licensed to Morganext LLC and is protected by applicable intellectual property laws.

You may not copy, modify, distribute, sell, or create derivative works from the Platform except as expressly permitted by us in writing.

11. Platform Availability

We may modify, suspend, restrict, or discontinue all or part of the Platform at any time, with or without notice.

We do not guarantee uninterrupted or error-free availability.

12. Disclaimer

The Platform is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, Morganext LLC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and reliability.

We do not guarantee any specific commercial result, occupancy level, booking outcome, or revenue.

13. Limitation of Liability

To the maximum extent permitted by law, Morganext LLC and its affiliates, officers, employees, contractors, and partners shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, bookings, opportunities, or business interruption.

Our total liability arising out of or relating to the Platform or these Terms shall not exceed the amount paid by you to us, if any, during the 12 months preceding the event giving rise to the claim, or one hundred U.S. dollars (USD 100), whichever is greater.

14. Indemnification

You agree to indemnify and hold harmless Morganext LLC, its affiliates, officers, employees, contractors, and partners from and against claims, liabilities, damages, losses, and expenses arising out of:

• your use of the Platform
• your listings or submitted content
• your interactions with other users
• your violation of these Terms
• your violation of any law or third-party rights

15. Termination

You may stop using the Platform at any time.

Sections that by their nature should survive termination will remain in effect, including intellectual property, disclaimers, liability limitations, indemnification, and governing law.

• you violate these Terms
• we are required to do so by law
• your use creates risk or potential liability
• the Platform or relevant services are discontinued

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Georgia, unless mandatory law requires otherwise.

17. Dispute Resolution

Any dispute arising out of or in connection with these Terms or the use of the Platform shall be subject to the courts of Georgia, unless mandatory applicable law provides otherwise.

18. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on the Platform with a revised effective date.

By continuing to use Livaro after the updated Terms become effective, you agree to the revised Terms.
