1. About Morganext Taxi Platform
Morganext Taxi Platform is a technology platform developed and owned by Morgan Next LLC, a company registered in Georgia.
The platform is designed for taxi companies, transport operators, dispatch centers, fleet operators, local transport providers and business customers that require a digital system for managing taxi and transportation operations.
Depending on the specific deployment, the platform may include passenger mobile applications, driver mobile applications, dispatcher and administrative web systems, order management tools, driver onboarding tools, GPS-based dispatching, notifications, reports, operational dashboards, technical integrations and white-label branding.
2. Technology provider only
Morgan Next LLC provides technology, software, platform licensing, configuration, development, maintenance and related digital services.
Important: Unless expressly agreed otherwise in a separate written agreement, Morgan Next LLC does not provide taxi rides, does not operate a taxi station, does not employ drivers, does not own or operate vehicles and is not a party to the transportation service between a passenger and a driver, taxi station or transport operator.
Each taxi company, transportation operator, driver, dispatcher, business customer or local operator is responsible for its own transportation activity, licenses, permits, drivers, vehicles, fares, refunds, passenger service, compliance with local transportation laws and customer support.
3. General platform level and specific deployments
These General Platform Terms apply to Morganext Taxi Platform at the product and technology level.
A specific taxi company, transportation operator or business customer may use a customized, branded or configured deployment of the platform. Such deployment may have its own terms of use, privacy policy, consent forms, data deletion procedures, support contacts, business rules, driver onboarding requirements and local legal notices.
In case of conflict between these General Platform Terms and the legally valid terms of a specific deployment, the specific deployment terms will apply to the operation of that specific service, unless otherwise stated in a written agreement with Morgan Next LLC.
4. Business customers and operators
A business customer or operator using the platform is responsible for ensuring that its use of the platform complies with all applicable laws, including transportation laws, consumer protection laws, employment or contractor rules, tax rules, privacy laws and licensing requirements.
Operator responsibilities
Verifying drivers, vehicles, licenses and insurance; setting operational rules; managing passenger complaints; handling ride fares, receipts and refunds unless agreed otherwise.
Legal notices
Providing passengers, drivers, dispatchers and staff with the legal notices, privacy documents and consents required for the specific deployment and jurisdiction.
The operator remains responsible for the real-world transportation service, local business operations and the lawful treatment of passengers, drivers and staff.
5. License and white-label customization
Subject to a separate written agreement, Morgan Next LLC may grant a business customer a limited, non-exclusive, non-transferable and revocable right to use the Morganext Taxi Platform.
No ownership rights are transferred to any business customer, operator, driver, passenger or end user.
White-label branding may include names, logos, colors, app icons, legal documents, operational rules, driver onboarding flows, passenger flows, dispatcher settings, support details and local business logic. White-label branding does not transfer ownership of the platform, software, source code, system architecture or intellectual property unless expressly agreed in writing.
6. Platform security and data protection
Morgan Next LLC applies reasonable technical and organizational measures designed to protect the platform and personal data processed through the platform against unauthorized access, loss, misuse, alteration, disclosure or destruction.
Such measures may include access controls, role-based permissions, authentication, logging, monitoring, backups, secure hosting infrastructure, separation of permissions, internal procedures, incident response processes and other safeguards appropriate to the nature of the deployment.
Security measures may vary depending on the agreed service scope, hosting architecture, integrations, customer requirements, jurisdiction and risk level. No digital platform can be guaranteed to be completely secure.
Security details that may expose infrastructure, internal controls or system architecture are not published in full on this public page. Additional security information may be provided to business customers through a commercial agreement, data processing addendum, security questionnaire or controlled disclosure process.
7. Local support providers and subcontractors
Morgan Next LLC may use employees, contractors, local representatives, implementation partners, technical support providers, hosting providers, communication providers and other service providers to operate, support, maintain or implement the platform.
The identity of any local representative, support provider or subcontractor may be specified in a specific deployment document, commercial agreement, data processing agreement, support and maintenance agreement or service order.
Unless a local provider is specifically named in a deployment or agreement, Morgan Next LLC remains the primary contact at the general platform level.
8. Availability, third-party services and changes
Platform availability may depend on hosting providers, internet access, mobile networks, GPS services, map providers, notification services, SMS providers, device settings, operating systems and third-party integrations.
Morgan Next LLC may update, modify, suspend or discontinue features of the platform from time to time, subject to any binding commercial agreement.
Morgan Next LLC will use commercially reasonable efforts to maintain the platform, but does not guarantee uninterrupted, error-free or fully secure operation.
9. Prohibited use
Users and business customers must not use the platform to violate applicable laws, provide unauthorized transportation services, upload false or unlawful documents, impersonate another person or business, interfere with platform security, reverse engineer the platform, overload or disrupt the system, collect or misuse personal data unlawfully, or infringe the rights of Morgan Next LLC or third parties.
10. Intellectual property
All intellectual property rights in the Morganext Taxi Platform belong to Morgan Next LLC or its licensors. This includes source code and object code, system architecture, mobile applications, web systems, APIs, interfaces, designs, databases, workflows, business logic, documentation, technical know-how, trademarks, trade names and branding.
No person or entity may copy, reproduce, distribute, sell, sublicense, modify, create derivative works from, reverse engineer or otherwise exploit any part of the platform without prior written permission from Morgan Next LLC.
11. Limitation of responsibility
To the maximum extent permitted by applicable law, Morgan Next LLC is not responsible for the actual transportation service, driver conduct, passenger conduct, ride fares or payment disputes, traffic delays, accidents, lost items, driver licensing or insurance, operator compliance with local law, incorrect information entered by operators, drivers or passengers, or third-party services.
Nothing in these terms limits liability where such limitation is prohibited by applicable law.
12. Commercial agreements
Business use of the platform is subject to a separate written agreement, which may include SaaS license terms, project scope, fees, payment terms, support and maintenance terms, data processing terms, confidentiality obligations, service levels, intellectual property provisions, termination rights and deployment-specific obligations.
If a separate written agreement exists between Morgan Next LLC and a business customer, that agreement will prevail in relation to the commercial relationship between the parties.
